Terms of Use

These Terms of Use ("Terms"), together with any Membership Agreement you enter into with us, constitute the entire agreement between you and Longleaf Angels, LLC ("Longleaf," "we," "us," or "our") concerning your use of this website and all related services. In the event of any conflict between these Terms and a Membership Agreement, the Membership Agreement controls.

This website links to membership and founder application pages hosted by Dealum OÜ ("Dealum"), an Estonian company. Dealum is not responsible for the content or communications that appear on this website itself.

1. Acceptance of Terms

This site is made available to legal residents of the United States who are age 18 or older. It is intended for founders seeking capital ("Founders") and accredited investors who are Members of Longleaf ("Members") familiar with, and willing to accept, the risks associated with private investments. Neither Longleaf nor Dealum endorses any opportunity appearing on this site, nor makes recommendations regarding the suitability of any opportunity for any user. Each user must evaluate opportunities at their own discretion.

2. Modifications to the Site and Terms

We reserve the right to update this Agreement at any time, with changes effective upon posting to the site. Continued use of the site after changes constitutes acceptance.

3. Jurisdictional Issues

This site is not intended to subject Longleaf to non-U.S. jurisdiction. The site may not be appropriate or available for use outside the United States. You are responsible for complying with local laws, including U.S. export controls.

4. Description of the Services

Founders who register with Longleaf may apply for evaluation and submit business information. Longleaf and its Members may prepare due diligence materials regarding Founders and their businesses. This information becomes accessible to Members and, from time to time, other angel networks or investors, consistent with Dealum's platform functionality. Members are provided access to content and functionality as described in their Membership Agreement.

5. Information Submitted Through the Site

Your submission of information through this site is governed by our Privacy Policy, incorporated by reference below. You represent that any information you provide is true, accurate, and complete, and that you will maintain and update it.

6. Rules of Conduct

While using this site, you agree not to:

• Use the site for any fraudulent or unlawful purpose.
• Defame, harass, stalk, or violate the legal rights of others, or harvest personally identifiable information about other users.
• Impersonate any person or entity.
• Interfere with or disrupt the site or its underlying infrastructure.
• Reverse engineer, decompile, or attempt to extract the source code of the site.
• Reproduce, duplicate, sell, or exploit any portion of the site for commercial purposes without our written consent.
• Use any automated means to scrape, index, or data-mine the site.
• Post unlawful, fraudulent, threatening, or infringing material.

7. Member Registration

Only individuals who have entered into a Membership Agreement are authorized to use Member services. Registration may require full name, mailing address, email address, telephone number, and other biographical or professional information, along with a unique login through our Dealum-hosted application.

8. Founder Registration

Founders register with Longleaf through our Dealum-hosted application and may be asked to provide full name, business name, mailing address, email, telephone number, business summary and data, and related information.

9. Login Use

Your login is for your personal use only. You are responsible for maintaining its confidentiality and for all activity that occurs through it. Notify us immediately of any unauthorized use.

10. User-Generated and Third-Party Content

Content posted by Founders or Members is for informational purposes only and is not independently verified by Longleaf or Dealum. Reliance on such content is at your own risk. We are not responsible for third-party sites linked from this site.

11. Timeliness and Accuracy of Content

Content on this site is presented as of the date published and may be superseded by later events. We attempt to keep information accurate and current but make no representation as to completeness or correctness.

12. Longleaf's Proprietary Rights

Materials made available through this site are the property of Longleaf and its licensors, and are protected by applicable intellectual property law. You may view content solely for personal use and may not reproduce, modify, or create derivative works without written authorization.

13. Securities; No Professional Advice

Nothing on this site constitutes a recommendation, solicitation, or offer to buy or sell securities, or investment advice. Information is provided without reference to any particular Member's or Founder's financial situation. Only individuals who qualify as accredited investors under applicable SEC rules may invest through Longleaf.

14. Disclaimers

This site and its services are provided for informational purposes only and do not substitute for professional investment, financial, or legal advice. The site is provided "as is" and "as available" without warranties of any kind. We do not endorse any Founder and are not responsible for transactions entered into between users.

15. Limitation of Liability

To the maximum extent permitted by law, Longleaf will not be liable for indirect, incidental, consequential, special, or punitive damages arising from use of this site. Our total liability for any claim will not exceed the greater of the amount you have paid to us, if any, or $100.

16. Security

While we work to maintain the security of this site, we do not guarantee that it will be secure, complete, or uninterrupted.

17. Indemnity

You agree to defend, indemnify, and hold harmless Longleaf from claims arising out of your use of this site or violation of this Agreement.

18. Termination

We may terminate your access to this site at any time, for any reason, including violation of this Agreement.

19. Governing Law

This Agreement is governed by the laws of the State of South Carolina.

22. Miscellaneous

If any provision of this Agreement is found unenforceable, the remaining provisions remain in effect. You may not assign your rights under this Agreement without our written consent.
